International Insurance Group, Inc. PRODUCER AGREEMENT Affiliate ID: ________________ (completed by Home Office) This agreement is entered into between: ____________________________________________________________________________ (agency name, mailing address, city, state, zip) each a duly licensed insurance agent/broker ("Producer"), and International Insurance Group, Inc., 1300 S. Milton, Suite 224, Flagstaff, AZ 86001 ("IIG”). Producer desires to secure specialty insurance coverage on behalf of its clients (insureds) and authorized subagents (other agents or brokers). This coverage may include, but is not limited to, Mexico Coverage for US registered vehicles, US Coverage for Mexican registered vehicles, and Worldwide Medical and Travel Insurance Products. This agreement also contains the terms and conditions that apply to your participation in IIG’s Internet Affiliate Program. As used in this agreement, "you’ and "yours" means any Internet website owner with the appropriate insurance licenses that applies for participation in the Internet Affiliate Program and is accepted by IIG. "We," "us," "our," and "IIG" all mean International Insurance Group, Inc. Binding Authority Producer is authorized to bind new and renewal risks and additional coverage in strict compliance with the underwriting and binding authority described on the IIG websites. Payment of Premiums For agency bill programs only, Producer has the authority to collect premiums. All premiums collected by Producer shall be kept in Producer’s trust account for the benefit of IIG, until delivered to IIG. Premiums, net of commissions and fees per Exhibit A, must be remitted and paid to IIG no later than 15 days after the last day of the calendar month in which the policy was bound. IIG will forward the Producer a statement reflecting all policies issued using the agency bill method via the Internet 5 days after the end of each calendar month. Producer agrees to pay IIG all earned premiums, including audits, whether or not the premium was collected from the insured, unless Producer notifies IIG in writing within 30 days of the effective date of the policy of Producer’s inability to collect such premiums. If Producer doesn’t pay IIG any premium or other money when due, Producer agrees to bear all collection or other expenses incurred by IIG (including attorneys’ fees) to enforce collection. IIG has the right to set off amounts owed by Producer to IIG against any amounts owed by IIG to Producer. Commissions and Fees For direct bill accounts, IIG will pay Producer commissions and/or fees on all paid premiums, per the commission schedule attached as Exhibit A within 15 days after the last day of the calendar month in which the policy was bound. For agency bill accounts, Producer shall retain the commissions and fees per Exhibit A and forward the net premiums due to IIG. Producer will refund to IIG the commissions on cancellations and return premiums at the same rate at which commissions were originally paid. Expiration Notices Producer is solely responsible for tracking any and all policy expirations. IIG shall not be liable for failing to provide Producer notice of policy expirations. Cancellations The parties agree that the insurer or IIG may cancel any policy of insurance by direct notice to the Insured and Producer, subject to applicable law. Limitations of Producer Producer has no authority to process or adjust claims and must notify IIG or an approved adjuster of any claim as soon as possible. No act or statement of Producer shall in any way be binding on IIG or any other insurer represented by IIG. Non-Admitted Carriers-Mexico and International Related Business Producer agrees and understands that the insurance provided by IIG for coverage in Mexico is issued by alien, non-admitted carriers and that all claims must be initially filed in Mexico with a Mexican adjuster authorized by the insurer. The Producer further understands and agrees that Mexico coverage administered by IIG is admitted in Mexico only, and that neither the insurer nor IIG provides claims service or indemnification for claims or suits brought in the United States or Canada under such insurance. The insurance for coverage in Mexico administered by IIG will respond to claims made and adjudicated in the Republic of Mexico only. Producer further agrees and understands that other programs administered by IIG may be nonadmitted, surplus lines coverage. Indemnity Producer shall indemnify and hold IIG harmless from any and all expenses, costs, attorney fees, for any breach of this Agreement by Producer or its agents, solicitors, or employees and any cause of action, loss or damage from neglect, fraudulent, unauthorized acts and/or omissions to acts by Producer or its agents, solicitors, or employees. IIG shall indemnify and hold Producer harmless from any and all expenses, costs, attorney fees, for any cause of action, loss or damage from neglect, fraudulent, unauthorized acts and/or omissions to acts by IIG or its agents, solicitors, or employees. Errors and Omissions Insurance Producer will purchase and maintain in force, as long as this agreement is in effect, an Insurance Agents/Brokers Errors and Omissions policy in amounts acceptable to IIG and will provide IIG with a copy of evidence of such insurance. Warranty Producer represents and warrants that it as well as its agents and subagents are properly licensed in all required jurisdictions for the classes of business, jurisdictions, and the coverage’s of insurance to be procured through IIG, including but not limited to Internet and Website to Website sales. Termination This agreement may be terminated by either party with 60 days written notice to the other party. Upon termination of this agreement, this agreement shall remain in force as to the insurance policies effected prior to the effective date of termination. Upon termination, Producer agrees to immediately return all supplies, policies, etc. that were delivered to Producer during the term of this agreement. Appointment of SubAgents Producer has no authority to appoint subagents without the express written approval of IIG. The Internet Affiliate Enrollment Process Once your application for enrollment in the Affiliate program has been approved, we will provide you with the appropriate hypertext references and login and password information that will enable you to receive commissions by selling Mexican insurance directly online. This process includes 2 separate options. You may choose to employ one or both options of policy issuance, at our discretion. Option # 1 – Website to website sales We will provide you with the appropriate hypertext reference and format to create a hyperlink from your website directly to the insurance rating questionnaire on our website. We will provide text and banner ads that you may use, without modification, to describe our services and us. After completing the rating questionnaire on our website and/or purchasing coverage with us, the customer will be returned to your website. This option is set up on a "Direct Bill" basis whereby the customer using an online credit card processing format pays premiums directly to us. We hereby grant you a non-exclusive, revocable license to use our name, company logo, and any marks and graphic images we provide you, all for the limited purpose of establishing and maintaining a hyperlink on your website. Option # 2 – Express Access – manual issuance by your licensed employees via the Internet We will provide you with the appropriate user ID’s and passwords so that you may manually use our website to issue policies on your clients behalf. You will be bound by all of the provisions of this entire agreement just as if you were issuing paper policies. This option is set up on an "Agency Bill" basis whereby you are responsible for remittance of all net premiums, taxes, and policy fees no later than the 15th day of the month following the issuing dates of said policies. Disclaimer: Use of our Internet Websites The materials on the websites are provided "as is" and without warranties of any kind, either express or implied. IIG disclaims all warranties, express or implied, including fitness for a particular purpose of the applicable websites. Producer agrees that it will not copy, use, modify or reverse engineer IIG’s website or any IIG intellectual property. Notwithstanding anything contained here, IIG shall not be liable for any indirect, special, incidental, consequential or other damage, including, but not limited to, loss of data or lost profits, which result from any breach of this Agreement by IIG or the use of, or the inability to use, the materials in the websites.

Mexico Southbound Auto –
Internet "Website to Website" Issuance- US Vehicles in Mexico Direct bill method USA Northbound Auto– Internet "Website to Website" Issuance – Mexican Vehicles in USA Direct bill method IIG will forward commissions to Producer in the amount of 20% of gross auto premium within 15 days after the last day of the calendar month in which the policy was bound. USA Northbound Trucking – Daily Certificate Program - Mexican Commercial Trucks in USA Direct bill method IIG will forward commissions to Producer in the amount of 50% all miscellaneous fees within 15 days after the last day of the calendar month in which the policy was bound. Mexico Homeowners – Internet "Website to Website" Issuance- Direct bill method IIG will forward commissions to Producer in the amount of 10% of gross premium, and IIG will forward to Producer 50% of all agency fees within 15 days after the last day of the calendar month in which the policy was bound. Mexico Watercraft Liability – Internet "Website to Website" Issuance- Direct bill method IIG will forward commissions to Producer in the amount of 15% of gross premium and IIG will forward to Producer 50% of all agency fees within 15 days after the last day of the calendar month in which the policy was bound. International Medical Insurance- IMG Products IMG will forward commissions to Producer in the amount of 15% of gross premium.
